End User License Agreement (EULA)

This End User License Agreement (“Agreement”, “EULA”) is a legal agreement between you (“User”, “Clinic”, “Customer”, or “Merchant”) and OmniMD Inc. (“OmniMD”, “We”, “Us”, “Our”) governing your use of the OmniMD Clover Integration Application (“Application” or “App”).
By accessing, or using this Application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
If you do not agree to this Agreement, do not use the Application.
1. Purpose of the Application
The OmniMD–Clover Integration Application enables healthcare providers using OmniMD EHR to securely process patient payments using Clover payment systems, including:
- Copay collection
- Patient Payments
- Card-present POS transactions
- Online ePay transactions
- Refunds and Voids
- Card vaulting/tokenization
- Automated posting into the OmniMD EHR system
This is a private-use application available only to OmniMD customers.
2. License Grant
Subject to this Agreement, OmniMD grants you a non-exclusive, non-transferable, limited license to use the Application solely in connection with your active OmniMD EHR subscription and Clover merchant account.
You may not:
- Modify, copy, distribute, or sublicense the Application
- Reverse-engineer or attempt to extract source code
- Use the Application for any purpose outside your own clinical operations
- Share access or credentials with unauthorized third parties
3. Eligibility & Requirements
To use this Application, the User must have:
- A valid OmniMD EHR license
- An approved Clover merchant account
- A compatible Clover device (Flex, Mini, Station) if using POS features
- Authorization from their organization to process payments
Users are responsible for ensuring that all staff utilizing the Application are trained and authorized.
4. Payment Processing & PCI Compliance
Payments are processed exclusively through Clover / Fiserv.
OmniMD does not store, process, or transmit cardholder data (PAN, CVV, expiration date).
All sensitive payment information is handled by Clover in compliance with:
- PCI DSS security standards
- Tokenization requirements
- Fiserv security policies
OmniMD only receives tokenized identifiers and transaction metadata.
5. HIPAA & Data Security
Because the Application interacts with EHR patient records:
- OmniMD complies with applicable HIPAA requirements
- OmniMD signs Business Associate Agreements (BAA) with covered entities
- Only minimal PHI necessary for payment posting is transmitted
- No cardholder data or sensitive Clover information is stored within OmniMD
- All communication uses encrypted, secure channels
Users are responsible for maintaining HIPAA compliance within their own organizations.
6. User Responsibilities
Users agree to:
- Provide accurate patient and billing information
- Maintain secure access to devices and credentials
- Ensure staff compliance with HIPAA and PCI rules
- Use the Application only for lawful clinical payment purposes
- Immediately report unauthorized use or suspected breaches
OmniMD is not responsible for errors caused by inaccurate data entry or misuse of the Application.
7. Prohibited Uses
You may NOT use the Application to:
- Process transactions outside your clinic or medical practice
- Store or extract patient card information
- Circumvent Clover’s or OmniMD’s security mechanisms
- Conduct fraudulent or speculative transactions
- Modify or tamper with transaction data
Violation may result in immediate termination of access.
8. Service Availability
OmniMD strives to ensure Application uptime, but:
- Payment processing relies on Clover’s systems
- OmniMD is not liable for Clover outages
- Internet connectivity, network issues, or device malfunction may impact performance
- Support is provided during OmniMD standard business hours
OmniMD does not guarantee uninterrupted service.
9. Updates & Modifications
OmniMD may update:
- Application features
- User interface
- Security mechanisms
- Integration methods with Clover
These updates may occur automatically without notice.
Continued use implies acceptance of updates.

11. Limitation of Liability
To the maximum extent permitted by law:
- OmniMD is not liable for indirect, incidental, or consequential damages
- OmniMD is not responsible for Clover device failures, Clover outages, or gateway issues
- OmniMD is not responsible for financial losses caused by invalid transactions or incorrect data entry
Your sole remedy is to discontinue use of the Application.
12. Disclaimer of Warranties
The Application is provided “AS IS” without warranties of any kind.
OmniMD disclaims all warranties, express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of transaction processing
13. Termination
OmniMD may terminate or suspend your access if:
- You violate this Agreement
- Your OmniMD subscription lapses
- Your Clover merchant account becomes inactive
- Fraudulent or suspicious activity is detected
Upon termination, you must immediately stop using the Application.
14. Governing Law
This Agreement is governed by the laws of the State of New York, USA, without regard to its conflict-of-law principles. Any disputes arising from the use of our services, including our Clover-integrated payment features, shall be resolved through binding arbitration or in a court of competent jurisdiction located in New York
