IMPORTANT: Please read these Terms and Conditions carefully before using OmniMD’s website, software products, or services. By accessing or using any OmniMD platform, you agree to be bound by these Terms. If you do not agree, do not access or use our services.
1. Introduction and Acceptance of Terms
Welcome to OmniMD Inc. (“OmniMD,” “we,” “our,” or “us”), a healthcare technology company headquartered at 245 Saw Mill River Road, Hawthorne, New York 10532.
These Terms and Conditions (“Terms”) govern your access to and use of:
- The OmniMD website located at omnimd.com and all subdomains
- OmniMD’s software products, including but not limited to our Electronic Health Records (EHR), Revenue Cycle Management (RCM), AI Medical Scribe, AI Front Desk, Practice Management, Medical Billing Software, Remote Patient Monitoring, and Telehealth platforms (collectively, the “Services”)
- Any APIs, mobile applications, integrations, or digital tools provided by OmniMD
- Any content, features, or functionality made available through the foregoing
By accessing or using any part of the Services, you (“User,” “Customer,” or “you”) represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are entering into these Terms on behalf of a business, healthcare practice, clinic, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, “you” and “your” will refer to that entity.
2. Eligibility and Account Registration
2.1 Eligibility
To use the Services, you must:
- Be at least 18 years of age
- Be a licensed healthcare provider, authorized healthcare organization, or an authorized representative thereof, or otherwise be using the Services for lawful professional purposes
- Have the legal authority to enter into binding contracts
- Not be barred from receiving the Services under applicable law
2.2 Account Registration
Certain features of our Services require you to create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials confidential and not share them with unauthorized individuals
- Notify OmniMD immediately of any unauthorized use of your account at info@omnimd.com
- Accept responsibility for all activity that occurs under your account
OmniMD reserves the right to terminate accounts that contain inaccurate information, violate these Terms, or are inactive for an extended period.
3. Description of Services
OmniMD provides a suite of healthcare technology products and services, including:
- Electronic Health Records (EHR) software with specialty-specific templates for over 20 medical specialties
- AI-powered Revenue Cycle Management (RCM) and medical billing software
- AI Medical Scribe and ambient clinical documentation tools
- AI Front Desk automation for scheduling, eligibility verification, and patient communication
- Practice Management (PM) software
- Remote Patient Monitoring (RPM) solutions
- Telehealth and digital health platforms
- Chronic Care Management (CCM) and value-based care services
- Medical billing services (outsourced)
- Pre-authorization services
- Interoperability, cloud migration, BI analytics, and AI/ML services
- Clinic marketing services
The specific features, functionalities, and service levels available to you depend on the subscription plan or service agreement you have executed with OmniMD. Additional terms may apply to specific products or services and will be presented to you at the time of subscription.
ONC Certification
OmniMD’s EHR software is ONC-certified and EHNAC-accredited. Certifications apply to specific products and versions. Please contact OmniMD for current certification status applicable to your subscription.
4. Subscriptions, Billing, and Payment
4.1 Subscription Plans
OmniMD’s software products are offered on a subscription basis. Subscription fees, terms, and included features are set forth in the Order Form or Statement of Work executed between you and OmniMD. Subscriptions automatically renew at the end of each billing period unless cancelled in accordance with Section 4.4.
4.2 Fees and Payment
- All fees are stated in US dollars and are exclusive of applicable taxes unless otherwise specified
- Payment is due as specified in your Order Form. Overdue amounts may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower
- OmniMD reserves the right to modify pricing upon 30 days’ written notice. Continued use of the Services after the notice period constitutes acceptance of the new pricing
- You are responsible for all taxes, levies, or duties imposed by taxing authorities, excluding taxes on OmniMD’s net income
4.3 Free Trials and Demos
OmniMD may offer free trials or demo access at its sole discretion. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial period expires. OmniMD reserves the right to modify or discontinue free trial offerings at any time.
4.4 Cancellation
To cancel your subscription, you must provide written notice to OmniMD in accordance with the terms of your Order Form or, absent such terms, at least 30 days prior to the next renewal date. Cancellation will take effect at the end of the current billing period. OmniMD does not provide refunds for partial billing periods, except as required by applicable law.
4.5 Suspension for Non-Payment
OmniMD reserves the right to suspend or terminate access to the Services for accounts with overdue balances, after providing reasonable notice. Suspension does not relieve you of your obligation to pay all outstanding amounts.
5. HIPAA Compliance and Protected Health Information
5.1 Business Associate Agreement
OmniMD acknowledges that, in providing the Services, it may create, receive, maintain, or transmit Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations, including the HITECH Act (collectively, “HIPAA”).
If you are a Covered Entity or Business Associate under HIPAA, you must execute a Business Associate Agreement (“BAA”) with OmniMD before transmitting any PHI through the Services. To request a BAA, please contact:

Use of the Services to process, store, or transmit PHI without a fully executed BAA is a material breach of these Terms.
5.2 Your HIPAA Responsibilities
You remain solely responsible for:
- Ensuring your organization’s compliance with all applicable HIPAA requirements
- Obtaining all required patient authorizations and consents
- Training your workforce on HIPAA obligations
- Implementing appropriate administrative, physical, and technical safeguards within your organization
- Ensuring that all staff utilizing the Services are trained and authorized
5.3 Security Standards
OmniMD implements industry-standard administrative, physical, and technical safeguards to protect PHI and other data, including AES encryption at rest and in transit, multi-factor authentication, role-based access controls, and regular security audits. Details are available in OmniMD’s Security documentation upon request.
5.4 Breach Notification
In the event of a security breach affecting PHI, OmniMD will notify you in accordance with the obligations set forth in the applicable BAA and HIPAA’s Breach Notification Rule (45 CFR §§ 164.400–414).
6. Acceptable Use Policy
6.1 Permitted Use
You may use the Services solely for lawful purposes in connection with your healthcare practice or organization, and in accordance with these Terms and all applicable laws and regulations, including HIPAA, HITECH, CMS regulations, and any other federal, state, or local laws governing healthcare operations.
6.2 Prohibited Activities
You agree not to use the Services to:
- Violate any applicable law, regulation, or professional ethical standard
- Transmit or store PHI without a fully executed BAA
- Upload, transmit, or distribute any malware, viruses, Trojan horses, worms, or any code of a destructive nature
- Attempt to gain unauthorized access to any portion of the Services or related systems
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any OmniMD software
- Scrape, harvest, or systematically extract data from the Services
- Resell, sublicense, or transfer your access to the Services to any third party without OmniMD’s prior written consent
- Use the Services in any manner that could damage, disable, overburden, or impair OmniMD’s infrastructure
- Interfere with or disrupt the integrity or performance of the Services or OmniMD’s APIs
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices
- Use the Services to harass, stalk, defame, abuse, or threaten any person
- Engage in unauthorized access, alteration, or distribution of electronic Protected Health Information (ePHI)
- Use the Services for any purpose that would violate HIPAA compliance requirements
- Use automated scripts or bots to interact with the Services in ways not authorized by OmniMD
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Services, without refund, and may result in legal action.
7. Intellectual Property Rights
7.1 OmniMD’s Intellectual Property
OmniMD and its licensors retain all right, title, and interest in and to the Services, including all software, technology, algorithms, user interfaces, designs, logos, trade names, trademarks, and content (collectively, “OmniMD IP”). Nothing in these Terms transfers any ownership of OmniMD IP to you.
7.2 License Grant to Customer
Subject to your compliance with these Terms and timely payment of applicable fees, OmniMD grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business operations. This license does not include the right to sublicense, modify, adapt, or create derivative works based on the Services.
7.3 Customer Data
You retain all right, title, and interest in and to the data, content, and information you submit to the Services (“Customer Data”), including patient records and PHI. You grant OmniMD a limited license to process Customer Data solely to provide and improve the Services as described in our Privacy Policy and the applicable BAA.
7.4 Feedback
If you provide suggestions, ideas, or feedback regarding the Services (“Feedback”), you grant OmniMD a royalty-free, worldwide, irrevocable license to use, reproduce, and incorporate such Feedback into OmniMD’s products and services without restriction or compensation to you.
7.5 Restrictions on Use of OmniMD’s Brand
You may not use OmniMD’s name, logo, or trademarks in any marketing, press release, or public communication without OmniMD’s prior written consent.
8. Data Privacy and Security
OmniMD’s collection, use, and disclosure of personal information and health data is governed by our Privacy Policy, available at omnimd.com/privacy-policy, and by any applicable BAA. OmniMD complies with applicable data protection laws, including HIPAA, HITECH, the California Consumer Privacy Act (CCPA), and applicable provisions of the General Data Protection Regulation (GDPR) to the extent applicable.
8.1 Data Retention
OmniMD retains Customer Data for the duration of the subscription and for a reasonable period thereafter as required by law or as specified in the BAA. Upon request at the time of termination, OmniMD will provide a copy of Customer Data in a standard format and will thereafter delete or destroy it in accordance with applicable law.
8.2 Data Portability
Upon termination or expiration of your subscription, you may request an export of your Customer Data within 30 days of termination. After that period, OmniMD is not obligated to retain or make available Customer Data, subject to applicable law.
8.3 Cookies and Tracking Technologies
OmniMD’s website uses cookies and similar tracking technologies. Please review our Cookie Policy at omnimd.com/cookie-policy for details on how we use cookies and how you can manage your preferences.
9. Third-Party Integrations and Services
The Services may integrate with or link to third-party services, platforms, or applications, including but not limited to laboratories, pharmacies, clearinghouses, payment processors (such as Clover/Fiserv), electronic prescribing networks, and Google services (Calendar, Meet). Use of such third-party services is subject to those parties’ own terms of service and privacy policies.
OmniMD does not endorse, control, or assume responsibility for any third-party services. OmniMD is not liable for any harm or damages arising from your use of third-party integrations. You are responsible for reviewing and complying with all applicable third-party terms.
9.1 Google API Services
OmniMD integrates with Google Calendar API and Google Meet to provide scheduling and telehealth functionality. OmniMD’s use and transfer of information received from Google APIs adheres to Google API Services User Data Policy, including the Limited Use requirements. OmniMD does not share, sell, or use Google user data for advertising purposes.
10. Disclaimers and Limitation of Liability
10.1 No Medical Advice
OmniMD provides technology tools to assist healthcare providers. The Services are not a substitute for professional medical judgment, diagnosis, or treatment. OmniMD does not practice medicine and does not provide medical advice. All clinical decisions remain the sole responsibility of licensed healthcare providers.
10.2 Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OMNIMD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR DATA
10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNIMD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- DAMAGES ARISING FROM SERVICE INTERRUPTIONS, DOWNTIME, OR FAILURE TO STORE DATA
IN NO EVENT SHALL OMNIMD’S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO OMNIMD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. The above limitations may not apply to you to the extent prohibited by applicable law.
10.4 Indemnification
You agree to defend, indemnify, and hold harmless OmniMD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any PHI or Customer Data that you submit to the Services.
11. Term and Termination
These Terms are effective as of the date you first access the Services and continue until terminated. Either party may terminate these Terms for material breach upon 30 days’ written notice if such breach remains uncured at the end of the notice period. OmniMD may immediately suspend or terminate your access if you violate the Acceptable Use Policy, fail to pay fees, or pose a security risk to OmniMD or its customers.
Upon termination: (a) all licenses granted to you immediately cease; (b) you must immediately stop using the Services; (c) provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12.2 Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation between the parties. If negotiation fails within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with arbitration to take place in Westchester County, New York. The parties waive any right to a jury trial.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against OmniMD.
12.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, including in matters involving intellectual property infringement or breach of confidentiality obligations.
13. General Provisions
- Entire Agreement: Entire Agreement: These Terms, together with the Privacy Policy, any executed BAA, and any applicable Order Form or Statement of Work, constitute the entire agreement between you and OmniMD and supersede all prior agreements.
- Modifications: Modifications: OmniMD reserves the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes by posting updated Terms on our website and, where feasible, by email. Continued use of the Services after the effective date of changes constitutes acceptance.
- Severability: Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
- Waiver: Waiver: OmniMD’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: Assignment: You may not assign these Terms or your rights hereunder without OmniMD’s prior written consent. OmniMD may freely assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
- Force Majeure: Force Majeure: OmniMD shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, cyberattacks, government actions, or disruptions in telecommunications.

14. SMS and Text Messaging Terms & Conditions
Applicability
This Section 14 applies specifically to OmniMD’s SMS and text messaging programs. These Messaging Terms are incorporated into and form part of these Terms and Conditions.

14.1 General — Opting In to SMS Messages
When you opt in to OmniMD’s messaging service, we will send you a confirmation message to verify your enrollment.
By opting into messages, you agree to receive recurring automated marketing and informational text messages from OmniMD Inc. Automated messages may be sent using an automatic telephone dialing system (ATDS) to the mobile telephone number you provided when signing up or any other number that you designate.
Message frequency varies. Additional mobile messages may be sent periodically based on your interaction with OmniMD Inc. OmniMD Inc. reserves the right to alter the frequency of messages sent at any time, to increase or decrease the total number of sent messages. OmniMD Inc. also reserves the right to change the short code, phone number, or alphanumeric sender ID from which messages are sent.
Your usual message and data rates may apply. If you have questions about your text plan or data plan, please contact your mobile carrier. Your mobile provider is not liable for delayed or undelivered messages.
Your consent to receive marketing messages is not a condition of purchase. You may opt out at any time as described below.
14.2 Carriers
Carriers are not liable for delayed or undelivered messages. Supported carriers include, but are not limited to, all major US carriers. OmniMD cannot guarantee message delivery across all carriers or devices.
14.3 Cancellation / Opt-Out
Messages will include instructions to unsubscribe, either by:
- Texting STOP to the OmniMD messaging number or short code, or
- Clicking the unsubscribe link included in the message (where available)
After you unsubscribe, we will send a final confirmation message to confirm that you have been removed from our messaging program and that no further messages will be sent.
If you would like to re-enroll in OmniMD’s messaging program after unsubscribing, simply sign up again using the same opt-in process, and OmniMD will resume sending messages to you.
14.4 Support and Help
For support regarding our SMS services:
- Email us at msingh@omnimd.com
- Text HELP to any OmniMD message (where supported) and we will respond with instructions on how to unsubscribe
- Follow any link included in messages from OmniMD to access unsubscribe instructions and company contact information
14.5 Transfer of Mobile Number
You agree that before changing your mobile number or transferring your mobile number to another individual, you will do one of the following:
- Reply STOP from the original number to unsubscribe
- Unsubscribe using the link included in our messages (if one is provided), or
- Notify us of your old number by emailing msingh@omnimd.com
The duty to notify OmniMD upon number change or transfer is a condition of using this messaging service. Failure to do so may result in messages being sent to a new holder of your previous number.
14.6 Privacy — SMS Program
If you have any questions about your data or our privacy practices as they relate to the SMS program, please review our Privacy Policy at omnimd.com/privacy-policy. OmniMD will not sell or share your mobile number or message history with third parties for their own marketing purposes.
14.7 Changes to Messaging Terms
OmniMD reserves the right to change or terminate its messaging program at any time. OmniMD also reserves the right to update these Messaging Terms at any time. Such changes will be effective immediately upon posting to omnimd.com/terms. If you do not agree to a change to these Messaging Terms, you should cancel your enrollment in the messaging program by texting STOP. Your continued enrollment following such changes constitutes your acceptance of the updated Messaging Terms.
